Update Regarding Substantial Shareholder
The Board of Directors of The International Stock Exchange Group Limited (the “Company”) has been informed by MIH East Holdings, Limited (“MIH”) that MIH and its parent company Miami International Holdings, Inc. have, in accordance with the Protection of Investors (Bailiwick of Guernsey) Law, 2020, requested and received a letter from the Guernsey Financial Services Commission (the “Commission”) confirming that the Commission has no objection to them becoming 26.77% shareholder controllers of the Company.
With reference to the announcement dated 11 April 2023, MIH's interests in shares in the Company currently comprise 425,000 ordinary shares representing 14.96% of the total ordinary shares in issue (2,841,000).
The Board also understands that MIH is close to completing the purchase of a further 335,430 ordinary shares representing 11.81% of the total ordinary shares in issue. If completed, this acquisition would take MIH's total holding of shares in the Company to the 26.77% level authorised by the Commission in its no objection letter.
This announcement is made pursuant to Listing Rule 4.2.1, which requires an announcement to be published where there is information relating to the Company that, in the Board’s opinion, is necessary to be disclosed to avoid the establishment or continuation of a false market in its shares or which might reasonably be expected to materially affect market activity in, or the price of, the Company’s shares.
